Website Owner, The offering, and Binding of Terms

 

Please read these​ ​Terms​ ​and​ ​Conditions​ ​of​ ​Use (“Terms”)​ carefully. ​They are​ ​legally​ ​binding and apply to your use of the NUVU Parenting (“NUVU Parenting”, “we,” “us,” or “our”) website at nuvuparenting.com (the “Site”) and associated domains that redirect you to this "Site" such as nuvuparents.com, nuvuparent.com, and shiringalili.com. These terms and conditions are also legally binding to Shirin Galili/NUVU Parenting social media pages (including Instagram, Facebook, Tiktok, and YouTube), and the related services and products offered by Shirin Galili/NUVU Parenting through the Site. To make these Terms easier to read, the Site, the related services offered through the Site, along with the Shirin Galili/NUVU Parenting-controlled social media pages are collectively called the “Services.” ​It​ ​is​ ​your responsibility​ ​to​ ​read​ ​these​ ​Terms​ ​​carefully​ ​prior​ ​to​ ​use​ ​of or​ ​access​ ​to​ ​any​ ​of​ ​our​ Services or purchase of any of our ​products.This website is owned and operated by Shirin Galili/NUVU Parenting. These Terms set forth the terms and conditions under which you may use this website and services as offered by us. By accessing or using the website of our service, you approve that you have read, understood, and agree to be bound by these Terms.

 

Who Can Use This Website and The Requirements To Create An Account 

 

In order to use our website and/or receive our services, you must be at least 18 years of age, or of the legal age of the majority in your jurisdiction, and possess the legal authority, right and freedom to enter into these Terms as a binding agreement. You are not allowed to use this website and/or receive services if doing so is prohibited in your country or under any law or regulation applicable to you.

 

Key commercial Terms Offered to Customers

 

These Terms and Conditions of Use set forth the legally binding terms for your use of the Services and purchase of our Products, including online courses (the “Products”). By using the Services and/or purchasing a Product, you agree to be bound by these Terms and Conditions and our Privacy Policy (together, the “Agreement”). Also, you must indicate your acceptance of the Terms and Privacy Policy when you create a NUVU Parenting account and/or purchase a Product from us.

When buying an item, you agree that: (i) you are responsible for reading the full item listing before making a commitment to buy it: (ii) you enter into a legally binding contract to purchase an item when you commit to buy an item and you complete the check-out payment process.


The prices we charge for using our Services and for our Products are listed on the website. We reserve the right to change our prices for products displayed at any time, and to correct pricing errors that may inadvertently occur. 

The fee for the services and any other charges you may incur in connection with your use of the service, such as taxes and possible transaction fees, will be charged on a monthly basis to your payment method if you are on a subscription membership basis. Otherwise, they will be charged once for one time Services charges, fees, and/or Products. 

 

Return and Refund Policy

 

There will be no returns or refunds of any Services or Products.

Chargebacks

​​By purchasing any course or product on this website, you are agreeing that there will be no chargebacks directly through your financial institution or credit card company. We reserve the right to present proof of your access and these Terms and Conditions to the financial institution investigating the dispute.

No Selling or Reselling or Transferring

You may not sell, resell, or use for any commercial purpose any NUVU Parenting Course, Service, or Product. You may also not transfer any login information or Service or Product for personal use other than with a member living within the same household. 

 

Retention of Right to Change Offering

 

We may, without prior notice, change the Services or Products; stop providing the Services or Products or any features of the Services or Products we offer; or create limits for the services. We may permanently or temporarily terminate or suspend access to the Services or Product without notice and liability for any reason, or for no reason.

 

Ownership of Intellectual Property, Copyrights and Logos

 

The Service and all materials therein or transferred thereby, including, without limitation, software, images, text, graphics, logos, patents, trademarks, service marks, copyrights, photographs, audio, videos, music and all Intellectual Property Rights related thereto, are the exclusive property of Shirin Galili/NUVU Parenting. Except as explicitly provided herein, nothing in these Terms shall be deemed to create a license in or under any such Intellectual Property Rights, and you agree not to sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit or create derivative works thereof.

 

Right to Suspend or Cancel User Account

 

We may permanently or temporarily terminate or suspend your access to the Service without notice and liability for any reason, including if in our sole determination you violate any provision of these Terms or any applicable law or regulations. You may discontinue use and request to cancel your account and/or any services at any time. Notwithstanding anything to the contrary in the foregoing, with respect to automatically-renewed subscriptions to paid services, such subscriptions will be discontinued only upon the expiration of the respective period for which you have already made payment.

 

Indemnification

 

You agree to indemnify and hold Shirin Galili/NUVU Parenting harmless from any demands, loss, liability, claims or expenses (including attorneys’ fees), made against them by any third party due to, or arising out of, or in connection with your use of the website or any of the services offered on the website. You and Shirin Galili/NUVU Parenting agree that disputes between us will first be attempted to be resolved informally and if need be, then resolved by mandatory binding arbitration and you waive any right to participate in a class action lawsuit or class arbitration. All fees will be at your sole responsibility. This indemnification obligation will survive these Terms and your use of the Services.

 

Law and Dispute Resolution

 

Arbitration Agreement; Class Waiver; Jury Waiver

If you and Shirin Galili/NUVU Parenting are unable to resolve a dispute or potential claim by means of good-faith negotiation, then you agree to resolve any such dispute through arbitration. This arbitration requires you and Shirin Galili/NUVU Parenting to agree to resolve all disputes through binding individual arbitration, unless otherwise noted. 

Applicability of Arbitration Agreement.

All claims and disputes (excluding claims for injunctive or other equitable relief as set forth below) in connection with the Agreement, including the Terms and Conditions, that cannot be resolved informally, to the extent permitted by applicable law, may be resolved by binding arbitration on an individual basis under the terms of this Arbitration Agreement. This Arbitration Agreement applies to you and Shirin Galili/NUVU Parenting, and to any subsidiaries, affiliates, agents, employees, predecessors in interest, successors, and assignees, as well as all authorized or unauthorized users or beneficiaries of services or goods provided under the Terms.

Notice Requirement and Informal Dispute Resolution.

Before either party may seek arbitration, the party must first send to the other party a written Notice of Dispute (“Notice”) describing the nature and basis of the claim or dispute, and the requested relief. A Notice to Shirin Galili/NUVU Parenting should be sent to nuvuparenting@gmail.com. After the Notice is received, you and Shirin Galili/NUVU Parenting should attempt to resolve the claim or dispute informally. If you and Shirin Galili/NUVU Parenting do not successfully resolve the claim or dispute within 30 days after the Notice is received, either party may begin an arbitration proceeding at their own expense. The amount of any settlement offer made by any party may not be disclosed to the arbitrator until after the arbitrator has determined the amount of the award, if any, to which either party is entitled.

Arbitration Rules.

Arbitration shall be initiated through an established alternative dispute resolution provider (“ADR Provider”) that offers arbitration as set forth in this section. The rules of the ADR Provider shall govern all aspects of this arbitration, including but not limited to the method of initiating and/or demanding arbitration, except to the extent such rules conflict with the Terms and Conditions. Any claims or disputes where the total amount of the award sought is the amount of or less than Nine Thousand Nine Hundred and Ninety-Nine U.S. Dollars (US $9,999.00) may be resolved through binding non-appearance-based arbitration, at the option of the party seeking relief. For claims or disputes where the total amount of the award sought is ten thousand U.S. Dollars (US $10,000.00) or more, the right to a hearing will be determined by the Arbitration Rules. Any hearing will be held in the city of Los Angeles, California, unless the parties agree otherwise. Any judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.

Additional Rules for Non-Appearance Based Arbitration. If non-appearance arbitration is elected, the arbitration shall be conducted by telephone, online, and/or based solely on written submissions; the specific manner shall be chosen by the party initiating the arbitration.

Authority of Arbitrator.

If arbitration is initiated, the arbitrator will decide the rights and liabilities, if any, of you and Shirin Galili/NUVU Parenting, and the dispute will not be consolidated with any other matters or joined with any other cases or parties. The arbitrator shall have the authority to grant motions dispositive of all or part of any claim. The arbitrator shall have the authority to award monetary damages and to grant any non-monetary remedy or relief available to an individual under applicable law, the ADR Rules, and the Terms. The arbitrator shall issue a written award and statement of decision describing the essential findings and conclusions on which the award is based, including the calculation of any damages awarded. The arbitrator has the same authority to award relief on an individual basis that a judge in a court of law would have. The award of the arbitrator is final and binding upon you and Shirin Galili/NUVU Parenting.

Waiver of Jury Trial.

The parties hereby waive their constitutional and statutory rights to go to court and have a trial in front of a judge or jury and instead elect that all claims and disputes shall be resolved by arbitration under this Arbitration Agreement, excluding claims for injunctive or other equitable relief as set forth below. Arbitration procedures are typically more limited, more efficient, and less costly than court proceedings and are subject to very limited review by a court. If any litigation should arise between you and Shirin Galili/NUVU Parenting in any state or federal court in a suit to vacate or enforce an arbitration award or otherwise, you and Shirin Galili/NUVU Parenting waive all rights to a jury trial and instead elect that the dispute will be resolved by a judge. 

Waiver of Class or Consolidated Actions.

All claims and disputes within the scope of this arbitration agreement must be arbitrated or litigated on an individual basis and not on a class basis, and claims of more than one customer or user cannot be arbitrated or litigated jointly or consolidated with those of any other customer or user. 

Severability. If any part or parts of this Arbitration Agreement are found under the law to be invalid or unenforceable by a court of competent jurisdiction, then such specific part or parts shall be of no force and effect and shall be severed, and the remainder of the Arbitration Agreement shall continue in full force and effect.

Right to Waive.

Any or all of the rights and limitations set forth in this Arbitration Agreement may be waived by the party against whom the claim is asserted. Such waiver shall not waive or affect any other portion of this Arbitration Agreement.

Survival of Agreement.

This Arbitration Agreement will survive the termination of your relationship with Shirin Galili/NUVU Parenting.

Small Claims Court.

Notwithstanding the foregoing, either you or Shirin Galili/NUVU Parenting may bring an individual action in small claims court after attempting to resolve issues informally and through arbitration.

Equitable Relief.

Notwithstanding the foregoing, either party may seek equitable relief before a court of competent jurisdiction for the alleged unlawful use of copyrights, trademarks, trade names, logos, trade secrets, or patents or emergency equitable relief before a court of competent jurisdiction to maintain the status quo pending arbitration. A request for interim measures shall not be deemed a waiver of any other rights or obligations under this Arbitration Agreement.

 

Governing Law, Venue, and Jurisdiction

To the extent the parties are permitted under these Terms and Conditions to initiate litigation in court, both you and Shirin Galili/NUVU Parenting agree that all claims and disputes, including statutory claims and disputes, arising out of or relating to the Agreement, including the Terms, shall be governed in all respects by the substantive law of the state of California, without regard to its conflict of law principles. You and Shirin Galili/NUVU Parentings hereby consent to submit to the jurisdiction of the federal and state courts sitting in the state of California for any actions, suits, or proceedings arising out of or relating to the Agreement, including the Terms, that are not subject to the Arbitration Agreement. You and Shirin Galili/NUVU Parenting agree that any cause of action arising out of or related to this service must commence within one (1) year after the cause of action occurs. Otherwise, such cause of action is permanently barred to the extent permitted by law.

 

 

Limitation of Liability

 

To the maximum extent permitted by applicable law, in no event shall Shirin Galili/NUVU Parenting, be liable for any indirect, punitive, incidental, special, consequential or exemplary damages, including without limitation, damages for loss of profits, goodwill, use, data or other intangible losses, arising out of or relating to the use of, or inability to use, the service. 

To the maximum extent permitted by applicable law, Shirin Galili/NUVU Parenting has no liability or responsibility for any (i) errors, mistakes, or inaccuracies of content; (ii) personal injury or property damage, of any nature whatsoever, resulting from your access to or use of our service; and (iii) any unauthorized access to or use of our secure servers and/or any and all personal information stored therein. 

 

Right to Change and Modify Terms

 

NUVU Parenting may, in its sole discretion, modify or revise the Terms at any time, and you agree to be bound by such modifications or revisions. Although we may attempt to notify you when major changes are made to the Terms and Conditions, you should periodically review the most up-to-date version, which will always be posted under NUVU Parenting Terms and Conditions. Your continued use of the Website or our Service after any such change constitutes your acceptance of the current and new Terms and Conditions. If you do not agree to any of these Terms or any future version of the Terms, do not use or access (or continue to access) the website or the service.

Promotional Emails and Content

You agree to receive from time to time promotional messages and materials from us, by mail, email or any other contact form you may provide us with (including your phone number for calls or text messages). If you do not want to receive such promotional materials or notices, please notify us at nuvuparenting@gmail.com.
